Constitution of Brunel University Great Wall Society

 

  1. Name: Great Wall Society

The name of the society shall be ‘Brunel University Great Wall Society’, hereinafter referred to as ‘The Society’.

 

  1. Aims and Objectives:

 

2.1 The aims and objectives of the Society shall be promote communication and mutual help among Chinese students, scholars, professionals and their associates in Brunel, propagating our Chinese culture, building bridges between our members and the development of China and encouraging cultural exchange among Chinese, British and other nationalities.

 

3. Membership:

    1. Membership is open to any registered student.

 

    1. The Vice President Campaigns & Societies and the President of the Union of Brunel Students’ are automatically members of the Society.

 

    1. Associate membership is open to Brunel staff and their family members e.g. (non-students, academic staff, union staff, etc). Associate members shall have the same privileges as full members, except the privilege of speaking and voting in meetings, to hold office in the society, or nominate or vote in elections.

 

 

4. The Committee:

 

    1. The Committee are responsible for the administration and management of the Society and shall consist of:

 

  1. The President/Chairperson

  2. The Treasurer

  3. The Secretary

  4. Website Manager

  5. Other positions deemed necessary by the members at the Annual General Meeting (AGM) or Semester General Meeting (SGM) (e.g. Vice President).

  6. In addition the Vice President Campaigns & Societies and the President of the Union of Brunel Students’ shall also be part of the committee.

 

    1. The Executive Committee shall be elected at an AGM or SGM and shall serve until the following AGM or SGM, unless removed by an Extra-ordinary General Meeting (EGM).

 

 

    1. The Executive Committee are responsible for:

 

  1. Ensuring the funds of the Society are managed correctly and financial reports are available to members on a regular basis.

  2. Organising activities and events of the Society.

  3. Upholding the Constitution of the Society ensuring its aims and objectives reflect the Society activities.

 

    1. At least two officers of the committee must attend Societies training if applicable.

 

 

5. Duties of Executive Committee Members:

 

    1. The President:

 

  1. Is responsible for calling all meetings.

  2. Is responsible for chairing meetings. Ensures that the agenda is followed, and that all business is completed and that all decisions are properly understood and recorded.

  3. Acts as the principal officer throughout the year, taking decisions whenever the need arises, in consultation with other officers when appropriate.

 

    1. The Treasurer:

 

  1. Responsible for collecting membership fees and all money due to the Society.

  2. Pass any invoices/expenses through to the finance department, once authorised by the Vice President Clubs & Societies and recording the information in the Cashbook.

  3. Ensuring all funds are spent properly.

  4. Report regularly to the committee and its members on the financial position of the Society.

  5. Present an end of year financial report to the AGM.

  6. Submit the annual Budget application form to the Vice President Clubs & Societies.

 

    1. The Secretary:

 

  1. Is the principle administrative officer and provides the link between the members, the Executive committee and outside agencies, e.g. other societies and clubs, the media, etc.

  2. Ensures the Societies Correspondence is dealt with quickly and efficiently.

  3. Makes arrangements for the meetings, e.g. booking venue and ensuring members receive agenda in advance.

  4. Takes minutes at all meetings and ensures they are typed and distributed to members.

  5. Is responsible for the filing and maintenance of society records.

 

 

    1. The Website Manager

 

  1. Is responsible for the Society’s page on brunelstudents.com.

  2. Is responsible for the content of the Society’s pages.

  3. Is responsible for keeping the site up to date.

  4. Updating the site calendar.

 

    1. Meetings:

 

    1. General Meetings: Members need to be issued notice at least14 days in advance, via the Society Notice board.

 

    1. Semester General Meetings (SGM): Members need to be issued notice at least 14 days in advance, via the Society Notice board. Resolutions must be handed to the Secretary (in writing) at least two days before the meeting. With consent of two-thirds of the voting members present at the meeting items can be raised without notice.

 

    1. Annual General Meetings (AGM): The Annual General Meeting shall be held on a convenient date in March. Members need to be issued notice at least 14 days in advance, via the Society Notice board. Matters to be discussed at the meeting must be place on the Society Notice board at least 3 days prior to the meeting. Members wishing to move any resolution at the Annual General Meeting must hand the resolution to the Secretary in writing, at least four days before the meeting. All AGM’s must be held by 31st March.

 

    1. Extra-Ordinary Meeting (EGM): Members shall be issued notice at least 3 days in advance.

 

    1. The Quorum at all general meetings shall be 50% of the full members. The Quorum for Executive meetings shall be 50% of the elected Executive Committee.

 

    1. Minutes for all Society meetings must be taken and a copy forwarded to Vice President Campaigns & Societies. Minutes of the Society AGM shall be submitted within fourteen days to the Vice President Clubs & Societies, or the resolutions of the AGM will not be recognised by the Students’ Union.

 

    1. In general an officer of the society should call meetings. However members may call a meeting if they feel it is necessary.

 

    1. Voting:

 

Every full member present shall be entitled to one vote upon every voting matter. Only full members shall be allowed to vote. No proxy votes shall be accepted for any purpose.

 

    1. Subscriptions:

 

The annual subscription shall be set no later than ­­­­14 days before Freshers Fayre. The subscription will be decided at a general meeting. (Please check what the minimum membership fee is, set by the Union).

 

 

    1. Union Policy:

 

Societies shall abide by ‘The Union of Brunel Students’ Equal Opportunity Policy (see Union Constitution)

 

    1. Discipline:

 

Any Society (or member of) breaking Union Policy shall be subject to internal disciplinary procedures conducted by the Vice President Campaigns & Societies. Appeals to the decision of the Vice President Campaigns & Societies must be submitted in writing to the President who may refer the matter to Congress.

 

 

    1. Expulsion of members:

 

The Committee shall have the power to expel any member from the Society for misconduct or of a nature opposed to the objects of the Society and the Students’ Union.

 

 

    1. Regulations:

 

The General Meeting shall have the power to make such rules and regulations pertaining to the conduct of the members of the society, as it shall from time to time deem necessary.

 

 

    1. Powers of the Society:

 

13.1 The Society in general meeting shall have the power to overrule any decision of the Committee.

 

    1. The Society in a general meeting shall have the power to pass a resolution of ‘No Confidence’ in the Committee or individual committee members.

 

 

    1. Finances:

 

    1. The President and the Treasurer are the only two signatories on the Society account and specimen signatures must be forwarded to the Vice President Campaigns & Societies at the start of their term in office.

 

    1. Further signatories on the Society Account must be submitted to the Vice President Campaigns & Societies in writing.

 

    1. All expenditure by the Society must be authorised by the Vice President Campaigns & Societies before expenditure occurs. The President and Treasurer may be held responsible for any acts, debt and omissions during their administration.

 

    1. The members of the Society will not be liable for debts contracted by Committee members or by any persons purporting to act on behalf of the Society, unless such person has the authorisation of the Committee in contracting such debt.

 

    1. Equipment:

 

    1. The Committee member responsible for equipment held by the Society must ensure it is kept in a safe and accessible place.

 

    1. Any loss or damage to equipment must be reported to the Vice President Campaigns & Societies Office as soon as possible.

 

    1. The Society shall ensure that a full inventory of all their equipment is kept and updated. A copy of this inventory must be submitted annually with the Budge application Form to the Vice President Clubs & Societies.

 

 

    1. Affiliation:

 

    1. The Society is an affiliated Society under ‘Schedule J’ of the Constitution of ‘The Union of Brunel Students’. Anything in this Constitution, any by-law or resolution of the Society or its office bearers which is inconsistent with the Union Constitution or any amendment to a special rule there under shall be void and of no effect insofar as it is inconsistent.

 

    1. The Society may affiliate to any external organisation, which is in line with the aims and objectives of the Society. All external affiliations shall be lodged with the Vice President Campaigns & Societies.

 

 

    1. Amendments:

 

These rules may be added to or amended by resolution at any general meeting. If the amendment entails the annulment of a pre-existing rule, the amendment must be passed by two thirds of the full members present, otherwise the majority shall be a half. The Vice President Campaigns & Societies must approve all amendments before they become effective.
